The area where members of the partnership have gained experience from previous work include:
* Involvement in public issue of shares by companies as solicitors to the offer, being solicitors to the offer of Triumph Merchant Bank Plc shares which offer opened in November 1997 and was concluded in the early part of 1998 and that of Hallmark Bank Plc which offer opened in January 1999 and closed in February 1999. Most recently we acted as solicitors in right issue of Hallmark Bank Plc in 2002 and also participated as solicitor in the First Aluminum Plc public issue in 2002. We obtained all the necessary Certified True Copies of the bank's documents as required by Securities and Exchange Commission (SEC) from Corporate Affairs Commission (C.A.C), prepared / drafted resolutions to convert from private to public Company and filed same at the CAC. Attended All Parties Meetings to arrange and supervise the issue, followed up at SEC. Attended the Completion Board Meeting and filed the prospectus there after at the CAC.
* Involvement in presentation of expression of interest to Bureau of Public Enterprises (BPE) for provision of legal advisory services for companies. Short listed for request for proposal with respect to six (6) companies to wit, Nigeria Sugar Company Bacita Niger State, Federal Superphosphate Fertilizer Company, Kaduna, Sunti Sugar, Company, National Fertilizer Company of Nigeria Ltd (NAFCON) Savannah Sugar Company Numan and Lafiagi Sugar Company, Lafiagi. We presented technical and financial proposals for three of the companies. Although, not successful the proposal was highly rated by BPE.
* Involvement in the Privatisation of Abia Palm Nigeria Plc.
* Solicitors to the ongoing private placement of Magnum Trust Bank Plc shares.
* Some members of our team were members of a law firm which by 1995 was not only the oldest in Nigeria but structured and handled the first scheme of arrangement and the first public issue of shares. We therefore have the added advantage of an extensive precedents base resource.
* During the first phase of privatisation, a member of the partnership was involved in the privatisation of the Nigerian Tourist Company, the owners of the Federal Palace Hotel, privatisation of First Bank of Nigeria Plc, partial divestment of government shareholding in Eko Hotels Ltd and the aborted privatisation of Progress Bank of Nigeria Plc.
In the present privatisation, a member of the consortium acted for a foreign investor (a major cement producer in Asia) in its bid to acquire controlling interest in the Cement Company of Nigeria Plc and for a Nigerian Company in the divestiture of government shares in Niyanco Plc.
The same member has acted for BPE with respect to the Privatisation of the following government owned entities:
(1) Iwopin Paper & Pulp Company Limited
(2) Nigerian Paper Mill Jebba
(3) Nigerian Newsprint Manufacturing Company Limited (Oku Iboku)
(4) Delta Steel Company Limited (Aladja)
